Registered Agent Terms of Service.

  These Registered Agent Terms of Service (“RA Terms”) govern the registered agent services provided by BusinessRocket, Inc. (“BusinessRocket,” “we,” “us,” or “our”) to the customer and business entity identified in the applicable order (“Customer,” “you,” or “your”).
  These RA Terms supplement and incorporate the BusinessRocket Terms of Service and Privacy Policy available on BusinessRocket.com (collectively, the “General Terms”). Together, the RA Terms, General Terms, applicable order, invoice, promotional offer, and any other terms expressly incorporated into them constitute the “Agreement.”
  If these RA Terms conflict with the General Terms concerning the Registered Agent Services, these RA Terms control with respect to the Registered Agent Services, except that the dispute-resolution, arbitration, class-action waiver, governing-law, and related provisions of the General Terms remain applicable unless expressly stated otherwise herein.
  By purchasing Registered Agent Services, accepting Registered Agent Services as part of a package or promotion, accepting a free or discounted Registered Agent Service period, allowing BusinessRocket or a BusinessRocket-designated provider to be appointed as registered agent for your entity, or otherwise using the Registered Agent Services, you acknowledge that you have read, understood, and agreed to these RA Terms.

• 1. REGISTERED AGENT SERVICES

  1.1 Registered Agent Appointment
  BusinessRocket will arrange for BusinessRocket, an affiliate, contractor, commercial registered agent, or another qualified provider designated by BusinessRocket (collectively, the “Registered Agent”) to serve as registered agent, resident agent, statutory agent, agent for service of process, or equivalent statutory representative for the business entity and jurisdiction identified in your order.
  Registered Agent Services are provided on an entity-by-entity and jurisdiction-by-jurisdiction basis. Registered Agent Services purchased for one entity or jurisdiction do not apply to another entity or jurisdiction unless separately agreed to by BusinessRocket.
  1.2 Third-Party Registered Agent Providers
  You authorize BusinessRocket to use affiliates, contractors, commercial registered agent companies, local registered agents, and other third-party service providers to perform some or all of the Registered Agent Services.
  BusinessRocket may change the Registered Agent provider assigned to your entity when reasonably necessary to continue providing the Registered Agent Services, including by filing an appropriate change of registered agent or registered office where permitted by applicable law.
  Any BusinessRocket-designated Registered Agent is an intended beneficiary of the protections, limitations of liability, releases, and indemnification provisions contained in these RA Terms.
  1.3 Legal Mail
  The Registered Agent Services are intended primarily for receiving documents that are properly directed to a registered agent, including:
  • service of process;
  • summonses;
  • complaints and lawsuits;
  • subpoenas;
  • notices of legal proceedings;
  • official Secretary of State or equivalent state filing-office correspondence;
  • governmental notices properly directed to the registered agent; and
  • other documents that a registered agent is required or reasonably expected to receive under applicable law.
  These materials are collectively referred to as “Legal Mail.”
  BusinessRocket does not determine whether any particular document is legally valid, properly served, legally sufficient, or requires a response.

• 2. ELECTRONIC DELIVERY OF LEGAL MAIL

  2.1 Scanning and Portal Delivery
  You authorize BusinessRocket and the Registered Agent to open Legal Mail when reasonably necessary, scan or digitally reproduce Legal Mail, and upload copies of Legal Mail to your BusinessRocket account or portal.
  You expressly authorize the electronic processing, reproduction, storage, and transmission of Legal Mail for purposes of providing the Registered Agent Services.
  2.2 Electronic Delivery Is the Standard Delivery Method
  Unless BusinessRocket expressly agrees otherwise, electronic delivery is the standard method by which BusinessRocket forwards Legal Mail to you.
  BusinessRocket may notify you of new Legal Mail by:
  • email;
  • notification through your BusinessRocket account or portal; or
  • another electronic method BusinessRocket may make available.
  BusinessRocket currently generally uses email and portal notifications but may modify its notification methods from time to time.
  For purposes of BusinessRocket's contractual obligation to forward Legal Mail, Legal Mail will be considered made available to you when BusinessRocket uploads the applicable document to your BusinessRocket account or otherwise electronically transmits the document to the contact information associated with your account.
  YOU ARE RESPONSIBLE FOR REGULARLY MONITORING YOUR BUSINESSROCKET ACCOUNT AND THE EMAIL ADDRESS ASSOCIATED WITH YOUR ACCOUNT.
  2.3 Legal Deadlines
  You acknowledge that legal deadlines may begin when Legal Mail is served upon or received by your Registered Agent and not when you personally open, review, download, or become aware of the document.
  BusinessRocket does not calculate, monitor, extend, or advise you regarding legal deadlines.
  Your failure to access your BusinessRocket account, open an email, receive an email, check a spam or junk folder, download a document, or otherwise review Legal Mail does not extend any legal deadline and does not make BusinessRocket responsible for your failure to respond.
  2.4 Processing Time
  BusinessRocket will use commercially reasonable efforts to process and electronically make available Legal Mail after it is received.
  BusinessRocket does not guarantee that Legal Mail will be scanned, processed, uploaded, forwarded, or transmitted within any specific number of hours or days.
  Processing may be affected by weekends, holidays, office closures, volume, document condition, carrier delays, technical issues, third-party provider delays, force majeure events, or other circumstances.
  2.5 Physical Forwarding
  Physical forwarding of documents is not included unless expressly stated in your order or service plan.
  Upon request, BusinessRocket may arrange physical forwarding of documents to an address provided by you. You are responsible for all applicable:
  • postage;
  • courier charges;
  • shipping charges;
  • packaging;
  • handling charges;
  • administrative charges; and
  • related costs.
  BusinessRocket may require advance payment before forwarding physical documents.
  BusinessRocket is not responsible for loss, theft, damage, misdelivery, or delay occurring after documents are provided to the United States Postal Service, FedEx, UPS, another courier, or another third-party delivery service.
  2.6 Customer Pickup
  Where BusinessRocket maintains physical possession of a document at a BusinessRocket-operated location, BusinessRocket may permit you or an authorized representative to pick up the document by appointment.
  Pickup must be scheduled in advance and may be subject to identity verification, authorization requirements, office availability, and BusinessRocket's security procedures.
  BusinessRocket does not guarantee walk-in access or unscheduled pickup.
  2.7 Physical Document Retention
  BusinessRocket is not a document-storage or archival service.
  Following scanning or electronic processing, BusinessRocket may retain, forward, return, securely destroy, or otherwise handle physical documents in accordance with its then-current operating procedures and applicable law.
  You should promptly download and maintain your own copies of all Legal Mail and other documents made available through your account.

• 3. THE REGISTERED AGENT ADDRESS IS NOT A BUSINESS OR MAILING ADDRESS

  3.1 Limited Purpose of Registered Agent Address
  The physical address associated with the Registered Agent (“Registered Agent Address”) is provided solely for purposes associated with the Registered Agent's statutory role.
  Unless you separately purchase a BusinessRocket business-address, virtual-address, mail-receiving, or similar service expressly permitting such use, the Registered Agent Address is not your:
  • principal office;
  • business office;
  • physical business location;
  • mailing address;
  • virtual office;
  • personal address;
  • bank mailing address;
  • merchant-processing address;
  • licensing address;
  • Google Business Profile location;
  • customer return address; or
  • general correspondence address.
  BusinessRocket's business-address services are separate products and, when offered, may use addresses different from BusinessRocket's Registered Agent Addresses.
  3.2 Prohibited Address Use
  You may not represent, imply, advertise, publish, photograph, list, or otherwise hold out the Registered Agent Address as a location from which you operate your business unless BusinessRocket has separately and expressly authorized such use.
  You may not direct customers, vendors, financial institutions, employees, contractors, banks, credit-card companies, government agencies unrelated to the registered-agent function, online marketplaces, or other persons to use the Registered Agent Address for general correspondence.
  3.3 Regular or Unauthorized Mail
  The Registered Agent Services do not include guaranteed receipt, logging, scanning, storage, notification, or forwarding of ordinary mail or other items that are not Legal Mail.
  BusinessRocket and the Registered Agent may decline to accept ordinary mail.
  If ordinary or unauthorized mail is received, BusinessRocket may, but is not required to:
  • omit it from your account;
  • decline to log or scan it;
  • return it to the sender;
  • temporarily retain it;
  • discard or securely destroy it; or
  • forward it at your expense.
  As a courtesy, some locations may temporarily hold unauthorized mail for approximately thirty (30) days, but BusinessRocket does not guarantee any retention period for ordinary or unauthorized mail.
  You should not rely upon the Registered Agent Address for receipt or preservation of ordinary mail.
  3.4 Packages and Deliveries
  BusinessRocket and its Registered Agents are not required to accept packages, merchandise, checks, payment cards, customer returns, parcels, deliveries, or other property unrelated to the Registered Agent Services.
  BusinessRocket may reject or return such items without liability.
  3.5 Charges for Unauthorized Use
  If your use or misuse of a Registered Agent Address causes BusinessRocket or the Registered Agent to incur costs, BusinessRocket may charge you reasonable:
  • handling fees;
  • storage fees;
  • postage;
  • shipping costs;
  • administrative fees; and
  • other costs associated with such unauthorized use.
  Repeated or material misuse of a Registered Agent Address may result in suspension or termination of the Registered Agent Services and resignation of the Registered Agent.

• 4. YOUR RESPONSIBILITIES

  4.1 Accurate Information
  You must provide BusinessRocket with complete, accurate, and current information concerning your entity and account.
  You must promptly update BusinessRocket if there is any change to:
  • entity name;
  • entity status;
  • principal business address;
  • mailing address;
  • owners, officers, managers, or authorized representatives when relevant;
  • email address;
  • telephone number;
  • billing information; or
  • other information reasonably necessary to provide the Registered Agent Services.
  4.2 Monitoring Communications
  You are solely responsible for maintaining access to your BusinessRocket account and monitoring the email address associated with your account.
  You must maintain reasonable email settings to permit receipt of BusinessRocket communications.
  4.3 Responding to Legal Mail
  BusinessRocket does not provide legal representation merely by serving as your Registered Agent.
  You are solely responsible for:
  • reviewing Legal Mail;
  • determining its significance;
  • determining whether a response is required;
  • obtaining legal counsel when appropriate;
  • complying with court and governmental deadlines; and
  • taking all actions required to protect your rights.
  4.4 No Legal Advice or Attorney-Client Relationship
  Registered Agent Services do not constitute legal advice or legal representation.
  No attorney-client relationship is created between you and BusinessRocket by BusinessRocket providing Registered Agent Services, receiving Legal Mail, scanning documents, forwarding documents, or communicating with you regarding Legal Mail.
  4.5 Business Status
  You must notify BusinessRocket if your business is dissolved, canceled, terminated, merged, converted, suspended, forfeited, administratively dissolved, revoked, inactive, or otherwise experiences a material change in legal status.
  A change in the status of your entity does not automatically terminate Registered Agent Services or your payment obligations.

• 5. AUTHORITY AND ACCOUNT INSTRUCTIONS

  5.1 Authority to Bind Entity
  If you purchase or use Registered Agent Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these RA Terms.
  If you do not have such authority, you may not purchase or use the Registered Agent Services on behalf of that entity.
  5.2 Reliance on Authorized Persons
  BusinessRocket may rely upon instructions, documents, approvals, cancellation requests, and other communications received from:
  • the BusinessRocket account owner;
  • an authorized user;
  • an officer;
  • a manager;
  • a director;
  • a member or shareholder reasonably believed to possess authority;
  • an authorized employee or representative; or
  • another person BusinessRocket reasonably believes has authority to act for the entity.
  BusinessRocket is not required to independently investigate internal ownership, management, or authority disputes before acting upon apparently valid instructions.
  5.3 Internal Disputes
  BusinessRocket is not responsible for resolving disputes among owners, partners, members, managers, officers, directors, employees, agents, or other persons claiming authority over an entity.
  If BusinessRocket becomes aware of conflicting instructions or a dispute concerning authority, BusinessRocket may suspend nonessential account actions, request additional documentation, decline to act until the dispute is resolved, or take other commercially reasonable action.

• 6. COMMERCIAL USE

  You represent and warrant that the Registered Agent Services are being obtained primarily for business, commercial, organizational, or professional purposes and not primarily for personal, family, or household purposes.
  Nothing in this provision waives any non-waivable right or requirement under applicable law.

• 7. FEES AND PAYMENT

  7.1 Registered Agent Fees
  You agree to pay the fees applicable to the Registered Agent Services.
  BusinessRocket's Registered Agent pricing may change from time to time. The amount charged for a renewal term will be the renewal price disclosed to you before the applicable renewal, subject to applicable law.
  The current price of Registered Agent Services does not need to be stated in these RA Terms and may be disclosed through the BusinessRocket website, portal, order page, invoice, renewal notice, or other communication.
  7.2 Additional Charges
  Registered Agent fees do not include, unless expressly stated otherwise:
  • government fees;
  • filing fees;
  • postage;
  • shipping;
  • courier costs;
  • physical document forwarding;
  • unauthorized-mail handling;
  • special processing;
  • expedited services; or
  • other separately disclosed services.
  7.3 Payment Authorization
  By providing a payment method and enrolling in automatically renewing Registered Agent Services, you authorize BusinessRocket to charge the applicable Registered Agent Service fees and other properly authorized charges to the payment method associated with your account.
  BusinessRocket may use payment-card account updater or similar services offered by card networks, processors, or financial institutions to obtain updated card information.
  7.4 Failed Payments
  If a payment is declined or otherwise unsuccessful, BusinessRocket may periodically retry the authorized payment method.
  BusinessRocket may also:
  • notify you of the failed payment;
  • invoice you;
  • suspend access to certain non-statutory features;
  • refer unpaid balances for collection;
  • terminate services where permitted; or
  • resign as Registered Agent in accordance with applicable law.
  A failed payment does not automatically remove BusinessRocket or its provider as Registered Agent and does not automatically eliminate amounts due while BusinessRocket or its provider continues to serve in that capacity.

• 8. PROMOTIONAL, FREE, OR DISCOUNTED REGISTERED AGENT SERVICE

  8.1 Promotional Periods
  BusinessRocket may offer Registered Agent Services free of charge or at a discounted price for an introductory or promotional period, including as part of a business-formation package.
  Unless BusinessRocket expressly states otherwise in writing, a free, introductory, promotional, or discounted Registered Agent Service automatically converts to the then-applicable paid annual Registered Agent Service after the promotional period expires.
  8.2 Payment Method on File
  When a valid payment method is on file, you authorize BusinessRocket to charge the applicable renewal fee when the paid term begins and at subsequent renewals unless the service is properly canceled under these RA Terms.
  8.3 No Payment Method on File
  If BusinessRocket or a BusinessRocket-designated provider remains your Registered Agent when a promotional or free period expires but BusinessRocket does not have a valid payment method on file, the applicable Registered Agent renewal fee nevertheless becomes due.
  BusinessRocket may invoice you for the Registered Agent Service.
  The absence of a payment method does not constitute cancellation and does not require BusinessRocket or its Registered Agent provider to continue providing Registered Agent Services without charge.

• 9. AUTOMATIC RENEWAL

  9.1 Annual Renewal
  Unless otherwise stated in your applicable order, Registered Agent Services are provided on an annual basis and automatically renew for successive annual terms until canceled or terminated in accordance with these RA Terms.
  9.2 Renewal Price
  Your Registered Agent Service will renew at the price disclosed by BusinessRocket for the upcoming renewal term.
  BusinessRocket may change the renewal price from time to time upon notice required by the Agreement or applicable law.
  9.3 Renewal Notices
  BusinessRocket generally intends to provide an electronic renewal reminder approximately thirty (30) days before an annual renewal and may provide additional reminders, including a reminder approximately seven (7) days before renewal.
  The precise timing, content, and number of notices may vary.
  Where applicable law requires a different notice, timing, disclosure, cancellation method, or other procedure, BusinessRocket will apply the requirements of applicable law.
  You are responsible for maintaining a current email address with BusinessRocket.
  9.4 Effect of Failure to Read Notice
  Except to the extent otherwise required by applicable law, your failure to open, read, receive, or respond to a renewal notice does not itself terminate the Registered Agent Service or eliminate payment obligations.

• 10. CANCELLATION REQUESTS

  10.1 How to Request Cancellation
  To request cancellation of Registered Agent Services, you must submit a written cancellation request by email to:
  Sales@BusinessRocket.com
  The subject line must state:
  [ENTITY NAME] – REGISTERED AGENT CANCELLATION REQUEST
  The request should identify the applicable entity and provide sufficient information for BusinessRocket to verify the account and the requesting person's authority.
  BusinessRocket may reasonably request additional authentication or documentation where necessary to protect the entity or account from unauthorized changes.
  Where applicable law requires BusinessRocket to provide another cancellation mechanism or accept cancellation through another method, BusinessRocket will comply with applicable law.
  10.2 Cancellation Request Does Not Change State Records
  SENDING A CANCELLATION REQUEST TO BUSINESSROCKET DOES NOT, BY ITSELF, REMOVE BUSINESSROCKET OR ITS REGISTERED AGENT PROVIDER FROM YOUR ENTITY'S OFFICIAL GOVERNMENT RECORDS.
  A Registered Agent relationship involves a statutory designation maintained with a Secretary of State or other governmental filing office. BusinessRocket cannot guarantee that its statutory responsibilities will terminate merely because you send an email requesting cancellation.
  10.3 Your Obligation to Replace Registered Agent
  Following a cancellation request, you are responsible for promptly:
  1. appointing a replacement registered agent or serving as your own registered agent where legally permitted;
  2. filing all required documents with the applicable Secretary of State or governmental filing office;
  3. paying all applicable government and third-party fees;
  4. updating all applicable government records; and
  5. providing BusinessRocket with proof of the completed change upon request.
  10.4 Completed Cancellation
  For purposes of determining BusinessRocket's ongoing statutory responsibilities and applicable fees, Registered Agent Services are not considered fully concluded until one of the following occurs:
  1. BusinessRocket or its Registered Agent provider is removed from the applicable governmental records as the entity's registered agent;
  2. BusinessRocket or its Registered Agent provider successfully resigns in accordance with applicable law;
  3. the entity is legally terminated or otherwise reaches a status under which BusinessRocket reasonably determines that it no longer has registered-agent responsibilities; or
  4. BusinessRocket otherwise confirms in writing that its registered-agent responsibilities have ended.
  10.5 Continuing Fees While BusinessRocket Remains Registered Agent
  If you request cancellation but fail to remove BusinessRocket or its Registered Agent provider from the applicable governmental records, you remain responsible for Registered Agent Service fees while BusinessRocket or its provider continues to be designated or required to act as your Registered Agent.
  BusinessRocket may charge or invoice applicable Registered Agent fees for periods during which it or its provider remains designated as Registered Agent, to the extent permitted by applicable law.
  This obligation exists because BusinessRocket or its provider may continue to incur statutory responsibilities, operational costs, document-handling obligations, and legal exposure while remaining publicly designated as your Registered Agent.
  Cancellation is therefore not a mechanism for obtaining continuing Registered Agent representation without payment.

• 11. INACTIVE, SUSPENDED, DISSOLVED, OR ABANDONED ENTITIES

  The suspension, forfeiture, administrative dissolution, revocation, delinquency, inactivity, abandonment, or other adverse status of your entity does not automatically remove BusinessRocket or its provider as Registered Agent.
  If BusinessRocket or its provider continues to appear in governmental records as Registered Agent or otherwise continues to have duties associated with the appointment, Registered Agent Service fees may continue to accrue.
  You remain responsible for completing any required dissolution, cancellation, withdrawal, change-of-agent, or similar filing necessary to terminate the Registered Agent relationship.
  BusinessRocket may require evidence reasonably satisfactory to BusinessRocket that the entity has been legally terminated or that BusinessRocket or its provider no longer has any Registered Agent responsibility.

• 12. TERMINATION AND RESIGNATION BY BUSINESSROCKET

  12.1 BusinessRocket's Right to Terminate
  To the extent permitted by applicable law, BusinessRocket may suspend or terminate Registered Agent Services or cause the Registered Agent to resign for reasons including:
  • nonpayment;
  • repeated payment failures;
  • inaccurate, incomplete, false, or outdated account information;
  • inability to contact you;
  • invalid email, telephone, or address information;
  • fraud or suspected fraud;
  • unlawful or suspected unlawful activity;
  • misuse of the Registered Agent Address;
  • excessive unauthorized mail;
  • abusive, threatening, or inappropriate conduct toward BusinessRocket personnel or providers;
  • sanctions, anti-money-laundering, compliance, or regulatory concerns;
  • risks to BusinessRocket, a Registered Agent provider, or another customer;
  • termination of BusinessRocket's operations or provider relationship in a jurisdiction;
  • failure to satisfy obligations under these RA Terms; or
  • any other lawful reason.
  12.2 Authority to Resign
  You expressly authorize BusinessRocket and any BusinessRocket-designated Registered Agent to prepare, execute, submit, and file a resignation of registered agent or equivalent filing where permitted by law and reasonably necessary to terminate the Registered Agent appointment.
  No additional approval from you is required for a resignation permitted by applicable law.
  12.3 Costs Associated With Resignation
  Where resignation or other filings become necessary because of your nonpayment, breach, failure to maintain accurate information, misuse of services, or failure to appoint a replacement Registered Agent, you are responsible for reasonable filing fees, administrative costs, and other expenses incurred by BusinessRocket as a result.
  12.4 Termination Without Customer Breach
  If BusinessRocket permanently discontinues your Registered Agent Service during a prepaid term for reasons unrelated to your breach and does not provide a substantially comparable replacement service, BusinessRocket may provide an appropriate prorated refund of the unused portion of the Registered Agent Service fee, except where a different remedy is required by applicable law.

• 13. EFFECT OF TERMINATION OR CHANGE OF REGISTERED AGENT

  After BusinessRocket or its Registered Agent provider is no longer your Registered Agent, BusinessRocket has no obligation to accept, process, scan, upload, store, or forward documents subsequently delivered to the former Registered Agent Address on your behalf.
  Such documents may be:
  • refused;
  • returned to sender;
  • delivered to another appropriate party where permitted;
  • discarded or securely destroyed where legally permissible; or
  • otherwise handled in accordance with applicable law and BusinessRocket's procedures.
  You are solely responsible for notifying courts, government agencies, creditors, counterparties, attorneys, and other persons of your new Registered Agent or address.

• 14. REFUNDS

  Except where otherwise expressly stated in these RA Terms or required by applicable law, Registered Agent Service fees are generally non-refundable once charged.
  BusinessRocket may, in its sole discretion, provide a refund, partial refund, account credit, courtesy adjustment, or other accommodation.
  Any discretionary refund, credit, or accommodation:
  • does not create an obligation to provide a similar adjustment in another case;
  • does not modify these RA Terms; and
  • does not constitute a waiver of BusinessRocket's rights.
  Government fees, shipping charges, postage, courier charges, filing fees, and amounts already paid to third parties are non-refundable unless BusinessRocket expressly agrees otherwise or applicable law requires otherwise.

• 15. DOCUMENT STORAGE AND ACCOUNT RETENTION

  BusinessRocket may establish, modify, or discontinue document-retention periods from time to time.
  BusinessRocket does not guarantee that Legal Mail, scans, communications, account records, or other documents will remain available indefinitely.
  You are responsible for downloading, saving, backing up, and maintaining copies of documents important to your business.
  Following termination of Registered Agent Services or closure of an account, BusinessRocket may delete or restrict access to documents in accordance with its record-retention policies and applicable law.

• 16. MISDIRECTED MAIL AND THIRD-PARTY DELIVERY ERRORS

  Despite reasonable procedures, mail or documents may occasionally be incorrectly addressed, misrouted, delivered to an incorrect agent, delivered to an incorrect entity account, delayed, damaged, or lost.
  BusinessRocket will use commercially reasonable efforts to address a known material processing error.
  BusinessRocket and its Registered Agent providers are not responsible for the conduct, failures, delays, or errors of:
  • the United States Postal Service;
  • FedEx;
  • UPS;
  • process servers;
  • couriers;
  • courts;
  • governmental agencies;
  • third-party Registered Agent providers;
  • senders;
  • internet service providers;
  • email service providers; or
  • other third parties outside BusinessRocket's reasonable control.

• 17. NO GUARANTEE OF LEGAL OR REGULATORY COMPLIANCE

  A Registered Agent is only one component of maintaining a business entity.
  Purchasing Registered Agent Services does not guarantee that your entity is or will remain:
  • active;
  • in good standing;
  • compliant;
  • properly licensed;
  • properly registered;
  • current on taxes;
  • current on annual reports;
  • current on Statements of Information;
  • current on beneficial ownership filings;
  • authorized to conduct business; or
  • otherwise compliant with federal, state, local, or foreign law.
  Unless you separately purchase additional BusinessRocket services covering a particular compliance obligation, you remain solely responsible for identifying and satisfying that obligation.

• 18. DISCLAIMER OF WARRANTIES

  TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE REGISTERED AGENT SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
  BUSINESSROCKET DOES NOT WARRANT THAT THE REGISTERED AGENT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM DELAYS OR THIRD-PARTY FAILURES.
  BUSINESSROCKET DOES NOT WARRANT THAT ANY PARTICULAR DOCUMENT WILL BE RECEIVED BY A REGISTERED AGENT, PARTICULARLY WHERE THE DOCUMENT IS MISADDRESSED, IMPROPERLY DELIVERED, SENT TO AN INCORRECT LOCATION, OR NOT ACTUALLY DELIVERED BY THE SENDER OR DELIVERY SERVICE.
  Nothing in these RA Terms excludes any warranty or obligation that cannot lawfully be excluded.

• 19. LIMITATION OF LIABILITY

  19.1 Excluded Damages
  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUSINESSROCKET, ITS AFFILIATES, AND ITS REGISTERED AGENT PROVIDERS WILL NOT BE LIABLE FOR ANY:
  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • EXEMPLARY DAMAGES;
  • PUNITIVE DAMAGES;
  • LOST PROFITS;
  • LOST REVENUE;
  • LOST BUSINESS;
  • LOSS OF BUSINESS OPPORTUNITY;
  • LOSS OF GOODWILL;
  • LOSS OF DATA; OR
  • SIMILAR DAMAGES,
  ARISING OUT OF OR RELATED TO THE REGISTERED AGENT SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  19.2 Liability Cap
  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BUSINESSROCKET, ITS AFFILIATES, AND ITS REGISTERED AGENT PROVIDERS ARISING OUT OF OR RELATING TO THE REGISTERED AGENT SERVICES OR THESE RA TERMS WILL NOT EXCEED THE TOTAL REGISTERED AGENT SERVICE FEES ACTUALLY PAID TO BUSINESSROCKET FOR THE APPLICABLE ENTITY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  If you received Registered Agent Services without charge during the applicable twelve-month period, the limitation will be determined to the maximum extent permitted by applicable law.
  19.3 Non-Waivable Liability
  Nothing in these RA Terms limits liability to the extent such liability cannot lawfully be limited or excluded, including liability for fraud or willful misconduct where applicable law prohibits such limitation.
  19.4 Allocation of Risk
  You acknowledge that the fees charged for Registered Agent Services reflect the allocation of risk contained in these RA Terms and that BusinessRocket would not provide the Registered Agent Services at the applicable price without these limitations.

• 20. INDEMNIFICATION

  To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless BusinessRocket, its affiliates, parent companies, subsidiaries, owners, shareholders, members, directors, officers, employees, representatives, contractors, Registered Agent providers, successors, and assigns from and against claims, demands, proceedings, liabilities, judgments, penalties, fines, losses, damages, costs, and reasonable attorneys' fees arising out of or relating to:
  1. your business operations or activities;
  2. your violation of law;
  3. inaccurate, incomplete, misleading, or outdated information supplied by you;
  4. your misuse or unauthorized use of a Registered Agent Address;
  5. your failure to review or respond to Legal Mail;
  6. your failure to maintain accurate contact information;
  7. your failure to appoint a replacement Registered Agent following a cancellation request;
  8. your failure to remove BusinessRocket or its Registered Agent provider from government records;
  9. claims against BusinessRocket arising solely because BusinessRocket or its provider is or was designated as your Registered Agent;
  10. documents, materials, information, or instructions supplied by you;
  11. disputes concerning ownership, authority, management, or control of your entity; or
  12. your breach of these RA Terms.
  You are not required to indemnify BusinessRocket for claims to the extent finally determined to have resulted from BusinessRocket's fraud or willful misconduct where indemnification for such conduct is prohibited by applicable law.
  BusinessRocket may control the defense of a claim subject to indemnification, and you agree to reasonably cooperate with the defense.

• 21. FORCE MAJEURE

  BusinessRocket will not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including:
  • natural disasters;
  • earthquakes;
  • fires;
  • floods;
  • severe weather;
  • pandemics or public-health emergencies;
  • acts of war or terrorism;
  • civil unrest;
  • labor disruptions;
  • utility failures;
  • telecommunications failures;
  • internet outages;
  • cyber incidents affecting third-party infrastructure;
  • government actions;
  • courthouse or agency closures;
  • postal or courier interruptions; or
  • other force majeure events.

• 22. CHANGES TO THE REGISTERED AGENT SERVICES

  BusinessRocket may modify the features, methods, processes, technology, providers, or operational procedures associated with the Registered Agent Services.
  BusinessRocket may substitute a substantially comparable Registered Agent provider where reasonably necessary to continue providing the service.
  If BusinessRocket makes a material change to pricing or other material commercial terms applicable to a future renewal period, BusinessRocket will provide notice as required by applicable law or these RA Terms.

• 23. CHANGES TO THESE RA TERMS

  BusinessRocket may update these RA Terms from time to time.
  Nonmaterial, administrative, operational, clarifying, or legally required changes may become effective upon posting or on the effective date stated in the updated RA Terms.
  Where BusinessRocket makes a material change that materially affects your rights or obligations, BusinessRocket may provide notice by email, through the BusinessRocket portal, on BusinessRocket.com, or through another reasonable method.
  To the extent required by applicable law, material changes will apply prospectively and required consent will be obtained.
  Changes to these RA Terms do not retroactively alter the contractual terms governing a dispute that arose before the effective date of the applicable change unless the parties expressly agree otherwise.

• 24. NOTICES

  24.1 Notices to You
  BusinessRocket may provide notices to you through:
  • your BusinessRocket account;
  • email;
  • the BusinessRocket website;
  • mail;
  • or another reasonable electronic communication method.
  You are responsible for maintaining accurate contact information.
  24.2 Notices to BusinessRocket
  Except for Registered Agent cancellation requests, which must follow Section 10 above, formal notices concerning these RA Terms may be delivered to:

  BusinessRocket may update its notice address by updating these RA Terms or the General Terms.

• 25. DISPUTE RESOLUTION, ARBITRATION, AND GOVERNING LAW

  These RA Terms incorporate the dispute-resolution provisions contained in the BusinessRocket General Terms, including applicable arbitration requirements and class-action or representative-action waivers.
  Except where applicable law requires otherwise, these RA Terms and the Registered Agent Services are governed by the laws of the State of California without regard to conflict-of-law principles.
  Where an in-person arbitration hearing or other agreed proceeding is required and the General Terms permit selection of a venue, the applicable venue will be Los Angeles County, California, unless applicable law requires otherwise.

• 26. ASSIGNMENT AND ENTITY-SPECIFIC SERVICE

  Registered Agent Services are purchased for the specific entity identified in the applicable order and may not automatically be transferred to another entity.
  You may not assign your rights under these RA Terms without BusinessRocket's consent where the assignment would affect the Registered Agent appointment or BusinessRocket's obligations.
  BusinessRocket may assign these RA Terms or delegate performance to an affiliate, successor, acquirer, contractor, or Registered Agent provider, subject to applicable law.

• 27. ENGLISH LANGUAGE CONTROLS

  BusinessRocket may provide translations of these RA Terms for convenience.
  If a translated version conflicts with the English-language version, the English-language version controls to the maximum extent permitted by applicable law.

• 28. SEVERABILITY

  If any provision of these RA Terms is found unenforceable, invalid, or unlawful, that provision will be enforced to the maximum extent legally permissible or modified to the minimum extent necessary to make it enforceable.
  The remaining provisions will remain in full force and effect.

• 29. NO WAIVER

  BusinessRocket's failure to enforce any provision of these RA Terms does not constitute a waiver of that provision or BusinessRocket's right to enforce it later.
  A waiver in one circumstance does not constitute a waiver in another circumstance.

• 30. SURVIVAL

  Any provisions that by their nature should survive expiration, cancellation, termination, resignation, or replacement of the Registered Agent will survive, including provisions concerning:
  • unpaid fees;
  • customer responsibilities;
  • indemnification;
  • limitation of liability;
  • dispute resolution;
  • document retention;
  • address misuse;
  • continuing Registered Agent obligations; and
  • obligations arising before termination.

• 31. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

  These RA Terms, together with the General Terms, Privacy Policy, applicable order, invoice, and any expressly incorporated promotional terms, constitute the agreement governing the Registered Agent Services.
  For matters specifically concerning Registered Agent Services, these RA Terms control over inconsistent general service provisions.
  No employee, salesperson, contractor, or representative of BusinessRocket may orally modify these RA Terms.

• 32. ACKNOWLEDGMENT

  BY PURCHASING, ACTIVATING, ACCEPTING, OR USING REGISTERED AGENT SERVICES, YOU ACKNOWLEDGE AND AGREE THAT:
  • (A) REGISTERED AGENT SERVICES GENERALLY AUTOMATICALLY RENEW ANNUALLY UNLESS PROPERLY CANCELED;
  • (B) FREE OR PROMOTIONAL REGISTERED AGENT SERVICES MAY AUTOMATICALLY CONVERT TO PAID REGISTERED AGENT SERVICES;
  • (C) A REQUEST TO CANCEL BUSINESSROCKET'S REGISTERED AGENT SERVICE DOES NOT, BY ITSELF, REMOVE BUSINESSROCKET OR ITS PROVIDER FROM GOVERNMENT RECORDS;
  • (D) YOU ARE RESPONSIBLE FOR APPOINTING A REPLACEMENT REGISTERED AGENT AND COMPLETING REQUIRED GOVERNMENT FILINGS;
  • (E) YOU MAY REMAIN RESPONSIBLE FOR REGISTERED AGENT FEES WHILE BUSINESSROCKET OR ITS PROVIDER REMAINS DESIGNATED AS YOUR REGISTERED AGENT;
  • (F) THE REGISTERED AGENT ADDRESS IS NOT A GENERAL BUSINESS OR MAILING ADDRESS;
  • (G) BUSINESSROCKET GENERALLY DELIVERS LEGAL MAIL ELECTRONICALLY THROUGH YOUR BUSINESSROCKET ACCOUNT AND RELATED ELECTRONIC NOTIFICATIONS;
  • (H) LEGAL DEADLINES MAY BEGIN WHEN YOUR REGISTERED AGENT RECEIVES SERVICE OF PROCESS, REGARDLESS OF WHEN YOU PERSONALLY REVIEW THE DOCUMENT; AND
  • (I) YOU ARE RESPONSIBLE FOR MONITORING YOUR ACCOUNT, REVIEWING LEGAL MAIL, AND OBTAINING LEGAL COUNSEL WHEN NECESSARY.
  If you do not agree to these RA Terms, you should not purchase, activate, or use BusinessRocket Registered Agent Services.
